E-Commerce Development Agreement

Confirmed commercial model
$1,999.99 upfront plus 5% of qualifying transaction amounts after excluding applicable sales tax and shipping and deducting applicable payment-processing fees. The maximum royalty payable to KORDEXA is $3,000 per calendar month, not a $3,000 sales threshold. The calculation resets each calendar month. Royalties are non-refundable once earned and paid.
Revisions and upgrades
Three revision iterations are included. Additional major revision iterations are $199 each. Additional custom functionality is available as separately scoped upgrades. Corrections needed to fulfill the agreed scope are included.
Agreement provisions to finalize
The final agreement must define qualifying transactions, refunds and chargebacks, reporting, settlement timing, audit rights, processor fee handling, calendar-month timezone, currency, term and termination, ownership, licenses, and dispute procedures. No additional contractual terms are assumed here.
